Section 1
Acceptance of Terms
These Terms & Conditions form a legally binding agreement between Pikseco and the institution, organization or individual authorized to access or use the platform.
By creating an account, signing an order form, accessing the Admin Dashboard, using the Driver App or Parent App, or otherwise using the services, the user and the relevant institution agree to comply with these Terms and any applicable subscription agreement, order form, privacy notice and institution-specific policy.
Where an authorized representative accepts these Terms on behalf of an institution, that representative confirms that they have authority to bind the institution.
Section 2
Eligibility
Pikseco is intended for authorized educational and transportation stakeholders, including:
Users must have legal capacity and appropriate institutional or parental authorization to access the platform. Children may not independently create accounts.
Section 3
Account Registration and Security
Institutions and users must provide accurate, complete and current registration information. Account access may be conditioned on verification, role assignment or institutional approval.
Administrators and users must protect login credentials, device access and authentication information. Credentials may not be shared with unauthorized persons.
Each user is responsible for activities performed through their account unless the user promptly reports suspected compromise and the activity occurred after Pikseco had a reasonable opportunity to secure the account.
Section 4
Institution Responsibilities
The institution remains responsible for the lawful and accurate administration of its transportation operations and platform users.
The institution is responsible for obtaining required permissions, notices and consents for processing student, parent, driver and transportation information.
Section 5
Administrator Responsibilities
Administrators must use their privileges only for authorized institutional purposes and within the scope of their assigned role.
Administrators must promptly remove or restrict access when a user changes role, leaves the institution or no longer requires platform access.
Section 6
Driver Responsibilities
Drivers must use Pikseco in a safe, lawful and responsible manner and must not interact with the application while driving where such interaction would be unsafe or unlawful.
Location services must be enabled only as required for authorized transportation operations and in accordance with institutional policy and applicable law.
Section 7
Parent Responsibilities
Parent and guardian access is provided for legitimate transportation oversight relating to registered children.
Parents may not use transport or location information to access, identify or interfere with unrelated users, vehicles or institutions.
Section 8
Student Information
Institutions remain responsible for the accuracy, lawfulness and ongoing maintenance of student information stored or processed through Pikseco.
Pikseco processes student information only to provide the platform, follow authorized institutional instructions, comply with law and protect platform security.
Institutions must promptly correct, restrict or remove inaccurate or no-longer-required student information.
Section 9
Platform Usage
Pikseco may be used only for legitimate educational transportation and related operational purposes.
Access to particular modules, features, reports or applications depends on the institution's subscription plan, configuration and assigned permissions.
Section 10
Subscriptions
Pikseco services are provided under subscription plans agreed with the institution through an order form, proposal, subscription agreement or equivalent commercial document.
Subscription scope may vary according to users, vehicles, campuses, modules, integrations, support level and deployment requirements.
Unless otherwise agreed in writing, subscription rights are non-transferable and limited to the institution and authorized users identified under the applicable agreement.
Section 11
Payments
Fees, payment schedules, renewal terms and applicable service charges are stated in the institution's order form, proposal or enterprise agreement.
Invoices
Invoices are payable within the period stated in the applicable agreement.
Renewals
Renewal arrangements follow the institution's subscription terms.
Taxes
Fees exclude applicable taxes unless expressly stated otherwise.
Late Payments
Overdue amounts may result in reminders, interest where lawful or service restriction.
Enterprise Agreements
Negotiated enterprise terms take precedence where they expressly conflict with this section.
Section 12
Service Availability
Pikseco targets 99.9% platform availability, measured over the applicable service period, excluding scheduled maintenance, emergency maintenance, third-party outages, connectivity failures, force majeure events and circumstances outside Pikseco's reasonable control.
Pikseco may perform scheduled or emergency maintenance to protect security, resolve incidents, improve performance or release platform enhancements.
Unless a separate service-level agreement expressly applies, the availability target is an operational objective and not a service credit commitment.
Section 13
Acceptable Use and Prohibited Activities
Users must not misuse Pikseco or interfere with the service, other users or institutional operations.
Pikseco may investigate suspected misuse and cooperate with institutions or lawful authorities where required.
Section 14
Intellectual Property
Pikseco and its licensors retain all rights, title and interest in the platform, software, source code, interfaces, workflows, branding, documentation, designs, content and related intellectual property.
Subject to payment and compliance with these Terms, Pikseco grants the institution a limited, non-exclusive, non-transferable and revocable right to access and use the platform during the subscription term.
No ownership rights are transferred to the institution or any user. Feedback may be used by Pikseco to improve the platform without creating an obligation to the person providing it.
Section 15
Third Party Services
Pikseco may depend on third-party services to provide mapping, authentication, messaging, email, analytics and cloud infrastructure.
Google Maps
Mapping, location visualization, route support and related geospatial services.
Firebase
Authentication, databases, cloud functions, storage and service infrastructure.
Cloud Messaging
Delivery of transport alerts, account messages and operational notifications.
Email Providers
Delivery of account, support, security and administrative communications.
Analytics Services
Performance measurement, diagnostics and service improvement.
Third-party services are governed by their own terms and policies. Pikseco is not responsible for third-party acts or outages beyond Pikseco's reasonable control.
Section 16
Data Ownership
Institution data remains owned by the institution or the relevant data subject, as applicable. Pikseco does not acquire ownership of institution data merely because it is processed through the platform.
Pikseco acts as a technology platform and, where applicable, as a data processor or service provider acting on institutional instructions.
Pikseco may use aggregated or de-identified information for security, analytics, service improvement and business intelligence where the information does not identify an institution or individual.
Section 17
Account Suspension
Pikseco may suspend or restrict access where reasonably necessary to protect users, institutions, the platform or legal compliance.
Where appropriate, Pikseco will provide notice and an opportunity to address the issue. Immediate suspension may occur where delay could create a material security, legal, safety or operational risk.
Section 18
Termination
Institutions may terminate services according to the notice, payment and termination provisions in the applicable agreement.
Pikseco may terminate access for material breach, persistent non-payment, unlawful use, serious security risk or another ground permitted under these Terms or the institution's agreement.
On termination, access rights end. Data export, return, retention and deletion are handled according to the applicable agreement, Privacy Policy and legal obligations.
Section 19
Limitation of Liability
To the maximum extent permitted by applicable law, Pikseco is not liable for indirect, incidental, special, consequential, punitive or exemplary damages, or for loss of profits, revenues, goodwill, data or business opportunity arising from use of the platform.
Pikseco is not responsible for transportation operations, driving conduct, institutional decisions, device failures, inaccurate source data, connectivity interruptions or third-party services outside Pikseco's reasonable control.
Unless a separate enterprise agreement states otherwise, Pikseco's aggregate liability arising from or relating to the services will not exceed the fees paid or payable by the institution for the affected services during the twelve months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
Section 20
Indemnification
To the extent permitted by law, the institution agrees to defend, indemnify and hold harmless Pikseco, its affiliates, officers, employees and service providers from third-party claims, losses, damages, liabilities and reasonable costs arising from:
Pikseco will provide reasonable notice of an indemnified claim and allow the institution to participate in the defence, subject to Pikseco's right to protect its interests.
Section 21
Changes to Terms
Pikseco may update these Terms to reflect service changes, legal requirements, security practices or operational needs.
The updated Terms will display a revised “Last Updated” date. Material changes will be communicated through the platform, email or another appropriate channel.
Continued use after the effective date of revised Terms constitutes acceptance, except where applicable law or an enterprise agreement requires separate consent.
Section 22
Governing Law and Disputes
These Terms are governed by the law and jurisdiction identified in the institution's order form, master services agreement or other applicable enterprise contract.
If no governing-law provision is stated in a separate written agreement, the governing law and exclusive courts will be those of the jurisdiction in which the Pikseco contracting entity is registered.
The parties should attempt in good faith to resolve disputes through authorized business and legal representatives before commencing formal proceedings, except where urgent relief is required.
